Job Description:
Shell Midstream Partners, L.P. (SHLX) is a fee-based, growth-oriented master limited partnership recently formed by Shell to own, operate, develop and acquire pipelines and other midstream assets. Our initial assets consist of interests in entities that own crude oil and refined products pipelines serving as key infrastructure to transport growing onshore and offshore crude oil production to Gulf Coast refining markets and to deliver refined products from those markets to major demand centers.
Responsibilities:
Direct tax advisor to SHLX and related pipeline asset clients, responsible for tax oversight of business operations and any tax implications of growth Transactions
Monitoring qualifying income through maintenance of model using actual and forecasted data
Maintain contract review process for all new commercial arrangements to provide support to clients and monitor changes in underlying SHLX Business
Primary focal point for tax for drop down planning and growth Transactions
Review of existing contracts to determine whether qualifying income is produced by potential drop down assets and potentially seek IRS rulings in conjunction with outside counsel
Tax due diligence on qualifying income, remedial method, 754 elections
Manage tax valuations and shield analysis with outside Consultants
Review financial models and provide input on tax assumptions
Discussions and negotiations with third parties with respect to such Agreements
Work outside service provider in determining the tax implications of MLP financing initiatives (equity and debt related), including book-up computations, tax shield calculations, income projections, and asset valuations
Tracing working capital to assets and creating and preserving qualified indebtedness
Collaborate with tax compliance activities where needed to ensure appropriate reporting of tax implications from operations and Transactions
Generating ideas and executing implementing such ideas to maximize tax efficiencies
Monitor tax legislation (federal and state) as it pertains to the MLP
Applies law, partnership agreement, and other governing documents to federal and state issues relating to current activity, audit activity, and planning
Provide tax advice on complex issues and projects that will often have tens to hundreds of millions of dollars of net income or cash effect on the outcome of the transactions
Ensure there is a process in place for compliance with Shell Tax policies in the area of responsibility assigned and reporting of any breaches thereof in accordance with established practices
Take part in special tax projects and play active part in the Tax community where required
Support the development and implementation of standards and priority processes in accordance with the Tax policies and controls
Taking leading role in the implementation of global processes within the area of responsibility
Acting as the primary point of contact for Clients
Working with business stakeholders to develop and maintain a common agenda between Tax and the business(es)
Providing knowledge and commercial context to tax work conducted by central tax staff
Clear communication of advice and recommendations to the Business
Structuring advice projects to enable effective execution
Understanding and constructively challenge business requests while looking for additional business activities that may benefit from tax advice
Represent Shell on selected tax issues before governmental authorities and within industry and professional organizations concerning tax matters (NAPTP)
Support representation and influencing efforts are lobbying for fiscal incentives and law changes
Ensure tax advisory to transactions performed by all business areas above mentioned in order to base them on tax procedures in accordance to the tax rules in force and with the minimal impact on P& L and assets
Assist in raising tax awareness in the business through training and Workshops
Assist in improving the tax efficiency of the corporate structure within area of responsibility
Establish and align own priorities in accordance with those defined by relevant Business Stakeholders
Monitor developments in tax and develop contacts with tax consultants in order to ensure all projects and processes are being properly advised
Assist in raising tax awareness in the business through training and workshops

Requirements:
Must have legal authorization to work in US on a full-time basis for anyone other than current employer.
Must have an advanced degree from an accredited university.
Prefer JD with LLM or CPA with Masters in Taxation
Substantial related experience
Deep knowledge and experience in partnership Taxation
Prefer experience with MLP’s
Must have strong planning, structuring and deal experience
Broad experience in business taxation working for another multinational, or a professional firm
Deep knowledge and experience in direct tax law and practice
Role requires skills to handle deal negotiations and complex contract drafting and Review
Role requires in depth understanding of complex tax law
Strong understanding of corporate structure and governance processes
Effective communicator of complex tax issues; both written and oral
Effective client/project management and task prioritization skills
Effective at establishing and utilizing external relationships and contacts for the benefit of Shell
